These Terms of Use (“Terms”) govern your access to and use of HuddleMed (the “Service”), operated by HuddleMed (“HuddleMed,” “we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended for healthcare professionals, students, and others involved in the healthcare field who are at least 18 years old. By using the Service, you represent that you meet these requirements and that the professional information you provide is accurate.

2. Your Account

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account.
  • You may not impersonate any person or misrepresent your credentials or affiliations.

3. Acceptable Use

You agree not to:

  • Post protected health information (PHI) or any content that could identify a patient in violation of applicable privacy laws or professional obligations.
  • Post unlawful, defamatory, harassing, abusive, or misleading content.
  • Provide content that infringes the intellectual property or privacy rights of others.
  • Use the Service to distribute spam, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Service or other users’ accounts.
  • Scrape, harvest, or collect data from the Service without our written permission.

4. Not Medical Advice

Content on the Service is provided by members for professional discussion and educational purposes only. It does not constitute medical advice and is not a substitute for independent professional judgment, formal clinical guidelines, or the care of a qualified provider. You are solely responsible for any clinical decisions you make. HuddleMed does not endorse or verify the accuracy of member-generated content.

5. User Content

You retain ownership of the content you post. By posting content, you grant HuddleMed a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content for the purpose of operating and promoting the Service. You represent that you have the necessary rights to grant this license and that your content does not violate these Terms or any applicable law.

6. Moderation and Enforcement

We may review, remove, or restrict content and may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the community, at our discretion and without notice.

7. Intellectual Property

The Service, including its design, logos, and software, is owned by HuddleMed and protected by intellectual property laws. Except for your own content, you may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.

8. Third-Party Links and Services

The Service may contain links to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third parties.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, HuddleMed will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless HuddleMed and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause. Provisions that by their nature should survive termination will continue to apply.

13. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which HuddleMed operates, without regard to conflict-of-law principles.
